Welcome in Klave’s terms and conditions. These terms and conditions represent a legal agreement between Secretarium Ltd. and you covering your access to and/or use of Klave’s zero-trust confidential application execution and ledger services made available through Secretarium’s proprietary platform known as “Klave” including the Klave website and all its webpages (the “Website”). Access to and service provided through the Website and other services made available in connection with the Website are referred to as the “Services”.
If you continue accessing and using this website, or by using any of the services you are agreeing to comply with and be bound by the following terms and conditions of use, which together with our privacy policy govern Klave’s relationship with you in relation to this website and services provided. If you disagree with any part of these terms and conditions, please do not access or use our website and services.
If any details of our Terms change, this page will be updated, and the changes posted will be effective immediately. We reserve the right to update or change our Terms at any time and you should check these Terms periodically.
The term ‘Klave’ or ‘Secretarium’ or ‘us’ or ‘we’ or ‘our’ refers to the owner of the website and service platform whose registered office is 8-9 Well Court, London, United Kingdom, EC4M 9DN. Our company registration number is 10406018 in the United Kingdom. The term ‘you’ refers to the user or viewer of our website.
Accepting this agreement
This Agreement forms a legally binding contract between You and Secretarium Ltd in relation to your use of Klave’s Services and Website.
By accepting this agreement, you can use our platform to distribute applications (“Product”), ensuring that you provide and maintain accurate information.
You accept the terms of this agreement on your behalf and/or on behalf of your company, organisation or any other body.
Your obligations
You and your product must adhere to these terms.
You are responsible for deploying your product to the Klave platform, providing required product information and support to users, accurately disclosing permissions for the product to operate on user devices.
You agree to use the Klave platform only for the purposes stipulated in this agreement and any applicable law, regulation or generally accepted practices or guidelines in the relevant jurisdiction.
Users aged 16-18 whom have obtained consent from a parent or legal guardian are permitted to use the Service, provided that the designated individual agrees to these terms on the user’s behalf and the user of the Service complies to these terms in full. Users under the age of 18, or under the age of majority in your jurisdiction, are prohibited from using the Service or sharing personal data unless the above requirements are satisfied.
Users must contact you directly regarding any defects or performance issues in relation to your product(s) and you are solely responsible for handling the support and maintenance of your product(s).
You agree that by making your product(s) available through the Klave platform, you will protect the privacy and legal rights of users and will provide adequate privacy notice and protection for those users.
Services
Secretarium will provide you with services that you paid for and/or register for.
Secretarium will provide standard support and maintenance services and will make reasonable attempts to uphold services within its current standard service levels.
Secretarium may provide you with services and features labelled as alpha, beta, preview, early access, development, testnet or other designations with comparable meanings, each referred to as a “Beta Service”. Secretarium bears no liability or responsibility for any Beta services. Support, service level agreements, warranties, and equivalents terms do not extent to the Beta services.
Access
To access certain services, you may need to register for a user account, and agree to the following:

You are solely responsible for your account and the security and privacy of your account, including passwords or sensitive information attached to that account.

All personal information you provide to us through your account is up to date, accurate, and truthful and that you will update your personal information if it changes.
We reserve the right to suspend or terminate your account if you are using our website illegally or if you violate these Terms and Conditions.
Pricing and Payment
Our pricing, available on our website, may be periodically updated. We will charge your credit card for the owed amounts, though invoices may be issued in specific cases.
Secretarium currently uses and reserves the right to continue using third party payment processors. We do not control third-party websites and are not responsible for their processes. Your payments on the website or service are subject to the terms of the applicable Payment Processor's service and privacy policy. By using the service, you consent to sharing necessary information with Secretarium and the Payment Processor for transaction completion. Secretarium may change or add Payment Processors at its discretion, with or without notice.

Appropriate use of the platform: The Klave platform has the capacity to support several variations of apps and services. Members of the community can share their own content through apps or products. Users must be transparent about their identity and the App’s identity.

Restricted content: The Klave platform must be used in good faith. You and your product(s) should not violate the law. The following content included but not limited to, is strictly prohibited: child endangerment, inappropriate content, deceptive financial services, illegal activities, prescription drugs and unapproved substances content, health misinformation, content including intellectual property infringement, deceptive behaviour, misrepresentative content and malicious behaviour. You shall not allow impersonation or false representations within the product(s).

Product and account takedowns: You may remove your product(s) from future distribution through the Klave platform at any time. This will not affect the rights of users who have previously purchased or downloaded your product(s); removed your product(s) from device(s) where previously purchased or downloaded applications are stored on behalf of users; or change your obligation to deliver or support product(s) or service(s) that have been previously purchased or downloaded by users. In reviewing and determining whether content or accounts are illegal or violate our policies, we take various factors into consideration. In the instance that a violation has occurred, we will provide you with relevant information and instructions on how to appeal, should you wish to do so. Repeated or serious violations will result in full termination. Upon app removal and/or suspension, along with any previous versions, the app will be removed from the platform and will no longer be accessible for users to download and utilise in any form. Upon Klave developer account termination, all apps will be removed from your catalogue, and you will no longer be able to publish new apps. Any related Klave developer accounts will also be permanently suspended.

Product prices: Product prices are established at your sole discretion and will be displayed to users. For the avoidance of doubt, you remain responsible for any such taxes, fees or surcharges and Klave holds no responsibility. Klave may display product prices to users in their native currency, but Klave is not responsible to you for the accuracy of currency rates or currency conversions.
Ownership
Klave retains all rights, title and interest in and to all intellectual properties and proprietary technology utilised to perform Services and any updates it may make available to you under this agreement. You agree to cooperate to maintain this ownership and promptly make Klave aware of any potential claims relating to our intellectual property, Platform or Services.
Confidentiality
Unless otherwise agreed, the Company will treat any information gained during the supply of the Product(s) or Service(s) as being private and confidential. Likewise, the Customer shall keep any methodologies and technology used by the Company to supply of the Product(s) or Service(s) confidential.
Indemnification
You agree to defend, indemnify, and hold harmless Klave, its affiliates, and their respective directors, officers, employees and agents, and authorised providers from and against any and all third party claims, actions, legal action, or proceedings, as well as any and all losses, liabilities, damages, costs, and expenses arising out of or accruing from your distribution of product(s) through the Klave platform, to the maximum extent permitted by law.
Term and termination
We may immediately suspend or terminate your use of and access to the website or services at our sole discretion, without prior notice, for any reason or cause. Upon termination of this agreement, you agree to immediately delete and destroy all copies of the Klave Software and no longer engage with the Platform.
Representations and warranties
You represent and warrant that you have all intellectual property rights in and to your product(s), including the right to monetise your product(s) on your own behalf only. You represent that if you use third-party materials, you have the right to distribute the third-party materials in your product(s).
Disclaimer of warranties
Neither we nor any third parties provide any warranty or guarantee as to the accuracy, timeliness, performance, completeness or suitability of the information and materials found or offered on this website for any particular purpose. You acknowledge that such information and materials may contain inaccuracies or errors and we expressly exclude liability for any such inaccuracies or errors to the fullest extent permitted by law. The end-user assumes all risks associated with using the platform.
Limitation of liability
Secretarium Ltd. and our directors, officers, agents, employees, subsidiaries, and affiliates will not be liable for any actions, claims, losses, damages, liabilities and expenses including legal fees from your use of the website or services provided.
Changes to this agreement

Governing jurisdiction
